Terms of Service

Effective Date: February 9, 2026

These Terms of Service ("Terms") govern your access to and use of the Foyl application and related services (the "Service") operated by Triluna Industries ("we," "us," "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years of age to use the Service. By creating an account, you represent that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

  • You must provide a valid email address and create a password to register.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately at support@foyl.dev if you suspect unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

3. Service Description

Foyl is an AI-powered dialectic reasoning tool that challenges your ideas through structured argumentation. The Service uses large language models (primarily Anthropic's Claude) to generate responses that test, question, and refine your thinking.

Important: AI-generated content is produced by machine learning models and may contain errors, inaccuracies, or biases. The Service does not provide professional, legal, financial, medical, or any other expert advice. You should not rely on AI-generated content as a substitute for professional judgment.

4. Service Tiers and Pricing

4.1 Free Tier

The Free tier includes limited access to the Service, including up to 3 streams per month, 3 forges per month, markdown export, and a maximum intensity of 5. No credit card is required.

4.2 Plus Tier

The Plus tier provides expanded access including unlimited streams and forges, all export formats, the full intensity range, concept graphs, cross-stream synthesis, and additional features. Plus requires a paid subscription.

4.3 Pricing Changes

We reserve the right to modify pricing at any time. Changes to subscription pricing will take effect at the start of your next billing cycle. We will provide at least 30 days' notice of price increases via email.

5. Payments, Billing, and Cancellation

5.1 Billing

Plus subscriptions are billed monthly or annually through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

5.2 Free Trial

New Plus subscribers may receive a 14-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan.

5.3 Cancellation

You may cancel your subscription at any time through the Stripe customer portal or by contacting us at support@foyl.dev. Upon cancellation:

  • You retain Plus access until the end of your current billing period.
  • Your account reverts to the Free tier at the end of the paid period.
  • Your data (streams, documents, concepts) is retained and accessible under Free tier limits.

5.4 Refunds

We offer refunds on a case-by-case basis. If you are unsatisfied with the Service, contact us at support@foyl.dev within 14 days of a charge to request a refund.

6. Your Content

6.1 Ownership

You retain full ownership of all content you create, submit, or generate through the Service, including your conversation inputs, documents, theses, syntheses, and exported materials ("Your Content"). We claim no intellectual property rights over Your Content.

6.2 License to Us

By using the Service, you grant us a limited, non-exclusive, worldwide license to store, process, and transmit Your Content solely for the purpose of operating and providing the Service to you. This includes transmitting Your Content to our AI providers (Anthropic Claude) to generate responses. This license terminates when you delete Your Content or your account.

6.3 Prohibited Content

You agree not to use the Service to create, store, or transmit content that:

  • Is unlawful, threatening, abusive, harassing, defamatory, or invasive of another's privacy
  • Infringes on any patent, trademark, copyright, or other intellectual property right
  • Contains malware, viruses, or any code designed to disrupt or damage systems
  • Attempts to exploit or harm minors
  • Promotes violence, discrimination, or illegal activities
  • Attempts to reverse-engineer, manipulate, or extract the AI models or system prompts

7. Acceptable Use

You agree not to:

  • Use the Service in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to the Service, other accounts, or connected systems
  • Use automated means (bots, scrapers, etc.) to access the Service without our written consent
  • Interfere with or disrupt the Service or the servers and networks connected to it
  • Circumvent usage limits, tier restrictions, or other access controls
  • Resell, sublicense, or redistribute access to the Service
  • Use the Service to build a competing product or service

8. AI-Generated Content

8.1 Nature of AI Responses

The Service uses AI models to generate dialectic responses. These responses are algorithmically generated and may:

  • Contain factual errors or inaccuracies
  • Reflect biases present in training data
  • Produce different results for the same input
  • Generate content that is provocative or challenging by design (this is the intended function of the dialectic engine)

8.2 No Professional Advice

AI-generated content does not constitute professional advice of any kind. The dialectic process is designed to challenge thinking, not to provide authoritative conclusions. You are solely responsible for any decisions made based on content generated through the Service.

8.3 Third-Party AI Providers

AI responses are generated by third-party providers (primarily Anthropic). Use of the Service is also subject to the terms and acceptable use policies of these providers. We are not responsible for the content generated by third-party AI models.

9. Intellectual Property

The Service, including its design, code, visual elements, branding, and underlying technology, is owned by Triluna Industries and protected by intellectual property laws. "Foyl," "Triluna Industries," and associated logos are our trademarks. You may not use our trademarks without written permission.

These Terms do not grant you any rights to use our intellectual property except as necessary to use the Service as intended.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in our Privacy Policy.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • AI-generated content will be accurate, complete, or reliable
  • Any errors in the Service will be corrected
  • The Service will meet your specific requirements

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRILUNA INDUSTRIES, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Triluna Industries and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

14. Termination

14.1 By You

You may stop using the Service and request account deletion at any time by contacting support@foyl.dev.

14.2 By Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to violation of these Terms, abusive behavior, or extended inactivity.

14.3 Effect of Termination

Upon termination:

  • Your right to access the Service ceases immediately.
  • We may delete your data in accordance with our Privacy Policy.
  • Sections 6.1, 8, 11, 12, 13, 15, and 16 survive termination.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

15.2 Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith informal negotiation. If informal resolution fails within 30 days, either party may initiate binding arbitration administered under the rules of the American Arbitration Association. Arbitration shall take place in Texas, United States, and shall be conducted in English.

15.3 Class Action Waiver

To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15.4 European Users

If you are a consumer in the European Economic Area, you retain any mandatory consumer protection rights under the laws of your country of residence. Nothing in these Terms affects your statutory rights as a consumer. You may also be entitled to bring proceedings in the courts of your country of residence.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Triluna Industries regarding the Service.

16.2 Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. For significant changes, we may also send a notification via email. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
